The Company Secretary

The Company Secretary has a professional duty to ensure proper disclosure to the shareholders, investors and regulatory bodies to comply with the Companies Act.

Only the following persons are qualified as secretary:
(i) Chartered Accountant (He/she must be registered under Malaysian Institute of Accountants (MIA) )
(ii) Chartered Secretary (He/she must be registered under Malaysian Institute of Chartered Secretaries and Administrators (MAICSA) )
(iii) Licensed Secretary (He/she must be licensed by Company Commission of Malaysia to be company secretary)
(iv) Lawyer (He/she must be registered with Malaysian Bar, or relevant authorities)

Incorporation of Company

Every company has to be registered as per the Companies Act, to establish a unique identity for each business. We will assist your company to obtain the Certificate of Incorporation and guide you throughout the process. This Certificate of Incorporation will be issued by SSM upon completion of the administrative procedures that we will help you to achieve.

Liquidation of Company

Once a company is unable to pay it liabilities when its fall due, mainly because of financial difficulties or economies crisis, companies will have to take action to close down/winding up of the Company. The liquidator act to represents the interests of all creditors, by supervising collecting and realising the company’s assets, discharging the company’s liabilities, and distributing any funds left over among the shareholders. Any outstanding debts in the Company subsequent to the above process will be written off. As there are many technicalities involved in the liquidation process, we recommend you to have a proper discussion with the liquidators to know more of this process. We have an appointed and experienced liquidator that can help you with this process.
